ООО «2REELS AGENCY» (hereinafter, the Provider), represented by General Director Kabilova M.T. acting under the Charter, offers any legal entity or individual entrepreneur operating a private preschool educational organization (hereinafter, the Organization) the opportunity to enter into an agreement for the provision of services through the Erkatooy.ERP information system on the terms set out below.
This public offer is made under Article 369 of the Civil Code of the Republic of Uzbekistan and constitutes the Provider's official proposal to conclude an agreement remotely, by the Organization performing the actions specified in Section 2.
1. Definitions and Terms
1.1. The following terms are used in this Offer:
- Information System (Erkatooy.ERP) — the Provider's software suite for automating the management of a private preschool educational organization: attendance, a methodology center, finance and billing, HR, CRM, kitchen and inventory, communications, document management, video surveillance, and access control.
- Organization (Preschool) — a legal entity or individual entrepreneur operating a private kindergarten that enters into an agreement with the Provider.
- Personal Account — the web and mobile interface of the Information System through which the Organization and its Staff Members enter, modify, and use data.
- Organization Staff Members — employees of the Organization who are granted access to the Personal Account within the scope determined by their role (director/owner, teacher, HR employee, accounting employee, admissions employee, kitchen employee, security and access-control employee) and by the permissions the Organization configures itself.
- Parent — the legal representative (parent, guardian, or custodian) of a child enrolled with the Organization who uses the Parent's Personal Account.
- Offer — this proposal by the Provider, addressed to an indefinite range of persons (Organizations), to enter into an agreement on the terms set out herein.
- Acceptance — the Organization's full and unconditional acceptance of the terms of the Offer in the manner specified in Section 2.
- Personal Data — information about Staff Members, Parents, and children, processed in the Information System in accordance with the Privacy Policy.
- Services — providing the Organization and its Staff Members with access to the functions of the Information System in accordance with the terms of this Offer and the selected Pricing Plan.
- Pricing Plan — a set of functions and limits of the Information System made available to the Organization for a fee set by the Provider and published on its website.
2. Procedure for Accepting the Offer
2.1. The agreement is deemed concluded from the moment the Organization, through its representative (hereinafter, the Owner), completes the registration form on the Provider's website when registering, confirms its email address with a code sent to that address, and indicates agreement with the terms of this Offer, the Privacy Policy, and the Terms of Use.
2.2. Performing the actions specified in Clause 2.1, as well as any subsequent use of the Information System by the Organization and its Staff Members, constitutes acceptance of the Offer within the meaning of Article 369 of the Civil Code of the Republic of Uzbekistan and does not require a paper document or an electronic digital signature, unless the parties expressly agree otherwise in writing.
2.3. Use of the Information System by a Staff Member or Parent under credentials issued by the Organization is deemed to occur with the Organization's knowledge and on its instructions; the Organization is liable for the actions of such users in accordance with Section 7 of this Offer.
3. Subject of the Offer
3.1. The Provider undertakes to give the Organization and its Staff Members access to the functions of the Information System within the scope of the selected Pricing Plan, and the Organization undertakes to use the Information System as established by this Offer and to pay for the services rendered on time.
3.2. The fee for using the Information System is charged to the Organization only. The Organization's Staff Members and Parents do not pay separately for access.
3.3. The first 14 (fourteen) calendar days after registration are provided to the Organization as a free trial period, on the terms in effect on the date of registration and published on the Provider's website. Once the trial period ends, a paid Pricing Plan must be activated to continue using the Information System.
4. Terms of Service Provision
4.1. Before registering in the Information System, the Organization's Owner must fully review the Privacy Policy and the Terms of Use posted on the Provider's website at erkatooy.uz.
4.2. The Organization independently determines which Staff Members are granted access to the Personal Account and configures their access permissions using the Information System's tools (the "Roles" section).
4.3. The Organization and its Staff Members bear sole responsibility for safeguarding their registration credentials (login and password). All actions performed using these credentials are deemed to have been performed by the Organization itself. The Provider is not liable for the consequences of unauthorized use of registration credentials by third parties, unless this occurred through the Provider's fault.
5. Rights and Obligations of the Provider
5.1. The Provider renders services to the Organization in accordance with the terms of this Offer and the selected Pricing Plan.
5.2. If the Provider identifies technical faults that prevent it from rendering services, it may temporarily suspend the provision of services until they are resolved, notifying the Organization through the Information System's interface.
5.3. The Provider may suspend the provision of services to the Organization if the Organization violates the terms of this Offer, including where payment is overdue by more than 15 (fifteen) calendar days.
5.4. The Provider ensures the confidentiality of users' registration data and protects personal data in the manner established by the Privacy Policy.
5.5. The processing, storage, and deletion of data related to facial recognition used for recording attendance is governed by Section 5 of the Privacy Policy.
5.6. The Provider may unilaterally amend the terms of this Offer, including the amount of payment, by notifying the Organization no later than 14 (fourteen) calendar days before the changes take effect, by posting a notice in the Information System's interface and sending a message to the email address provided at registration. The changes take effect upon expiry of that period from the date the notice is published.
5.7. If the Organization does not notify the Provider that it is declining the services (Clause 5.8) within 14 days of the date the notice is published, it is deemed to have agreed to the new terms.
5.8. The Organization may decline the services in connection with a change of terms within 14 days of the date the notice is published, by submitting a request through the Personal Account or to the email address specified in Section 15 of this Offer.
6. Rights and Obligations of the Organization
6.1. The Organization must ensure that data about children and their legal representatives is entered into the Information System only where there is a lawful basis for processing it, including the consent of the child's legal representative, obtained by the Organization itself or through the consent mechanism built into the Information System (Section 4 of the Privacy Policy).
6.2. The Organization and its Staff Members are responsible for the completeness, accuracy, and reliability of the data entered into the Information System, and are required to:
- check data for completeness and correctness before entering it;
- use official sources (documents, orders, certificates) for data entry;
- promptly correct any errors discovered;
- not enter into the Information System any information constituting a legally protected secret without proper consent and grounds.
6.3. The Organization may not transfer access to its Personal Account to third parties who are not its Staff Members, and may not use the Information System to enter knowingly false information.
6.4. The Organization is liable, in accordance with the legislation of the Republic of Uzbekistan, for violating the requirements of this Section, including the falsification of data.
7. Liability for the Actions of Staff Members and Parents
7.1. The Organization ensures its Staff Members are familiar with the terms for processing personal data required to work in the Information System, and is liable to the Provider for the actions of Staff Members performed in the Organization's Personal Account.
7.2. A Parent registered in the Information System is personally liable for the accuracy of the data they provide through the Parent's Personal Account.
8. Copyright
8.1. The Information System, including its source code, design, and database structure (excluding the personal data of the Organization, its Staff Members, Parents, and children), is the intellectual property of the Provider.
8.2. The Organization is granted a simple (non-exclusive) license to use the Information System to the extent necessary to receive the Services, without the right to modify, decompile, transfer to third parties, or use it for other purposes without the Provider's written consent.
9. Cost of Services
9.1. The Organization pays monthly for use of the Information System under the applicable Pricing Plan published on the Provider's website in the "Pricing" section.
9.2. The Provider may offer the Organization additional paid features. Their scope, cost, and terms are published in the relevant section of the Information System. The Organization activates and deactivates additional features independently and voluntarily, and doing so does not affect its use of the core Services.
9.3. The Provider may change the scope of additional paid features by notifying the Organization through the Personal Account no later than 30 (thirty) calendar days in advance.
10. Liability of the Parties
10.1. The Provider is not liable for:
- the inability to use the Information System for reasons beyond the Provider's control, including outages of communication networks and internet providers;
- damage arising from the Organization's or its Staff Members' use of inaccurate data;
- the consequences of the Organization or a Staff Member disclosing its registration credentials to third parties;
- the operation of third-party equipment (facial-recognition terminals, IP cameras) integrated with the Information System, except where the malfunction is caused by the Information System itself.
10.2. Liability of the parties not provided for in this Offer is determined in accordance with the legislation of the Republic of Uzbekistan.
11. Dispute Resolution
11.1. Disputes arising from this Offer between the Provider and the Organization as business entities are resolved through negotiation and, failing agreement, in the economic court at the defendant's location, in the manner established by the legislation of the Republic of Uzbekistan.
11.2. Requests from Parents and other individuals who are subjects of personal data, relating to the processing of their data, are handled in the manner established by Section 10 of the Privacy Policy and, failing agreement, in the manner established by the consumer-protection legislation of the Republic of Uzbekistan.
12. Personal Data
12.1. All terms for processing and protecting personal data, including the categories of data, purposes, retention periods, and the rights of data subjects, are set out in the Privacy Policy, which forms an integral part of this Offer.
12.2. If this Offer conflicts with the Privacy Policy, the provisions of the Privacy Policy apply as the more specific document.
13. Term of the Offer
13.1. This Offer is valid indefinitely from the date it is posted on the Provider's website until the date it is withdrawn or replaced by a new version.
13.2. The agreement with a particular Organization is valid from the date of Acceptance until the parties have fully performed their obligations or until termination in the manner established by this Offer.
14. Relationship to the Terms of Use
14.1. This Offer governs the terms of the paid provision of services and the payment procedure. Rules for using the functions of the Information System that are not related to payment are established by the Terms of Use. If this Offer conflicts with the Terms of Use on matters of payment and the procedure for rendering services, this Offer prevails.
